One group. Three contracting entities.
- This page governs use of the VESSEY Group website and its public information.
- Concept, Design & Engineering, and Manufacturing are allocated to separate legal entities.
- The entity named on the quotation, proposal, order or invoice is the contracting party for that service.
- A signed agreement, approved change order or accepted commercial document controls the actual service relationship.
- Non-excludable consumer and statutory rights remain protected.
The complete terms below control. Service-specific terms and signed project documents apply when you buy or commission work.
About these terms
These terms govern access to and use of vessey.co.za and its public group pages. The website is operated by Vessey and Vessey (Pty) Limited (“Vessey”, “we”, “us”), registration number 2021/822256/07 and VAT registration number 4800300404.
Our registered and physical address is 99 Conrad Drive, Blairgowrie, Johannesburg, South Africa, 2194. Contact us at connect@vessey.co.za or +27 68 644-6449. By using the website, you agree to these terms. If you do not agree, do not continue to use it.
Group structure and service terms
The VESSEY Group includes three separate legal entities. Shared branding, resources, referrals or participation in a multi-company project do not make one entity responsible for another’s work or obligations. “VESSEY” in a service agreement means only the contracting entity named on the applicable quotation, proposal, order confirmation or invoice.
- Vessey & Vessey (Pty) Limited owns and operates the Product Concept Generator and related early-stage concept and digital services. Concept outputs are preliminary and are not final engineering, manufacturing instructions or certification. Its tailored terms are at /design/concept-generator/terms/.
- VESSEY Design and Engineering (Pty) Limited supplies product development, industrial and mechanical design, CAD, drawings, analysis, validation, drawing-office resources, product-lifecycle management, reverse engineering and prototype support. Certification or statutory approval is included only when expressly scoped. Its tailored terms are at /design/terms-and-conditions/.
- VESSEY Manufacturing (Pty) Limited supplies additive manufacturing, rapid prototyping, low-volume production, scanning, finishing, inserts, packaging and dispatch. Manufacture does not amount to engineering approval. Its tailored terms are at /build/terms-and-conditions/.
An integrated project may move between entities, but each entity remains responsible only for its agreed scope. Each stage may require a separate quotation, scope, purchase order, payment and invoice, and payment must be made into the bank account shown on that entity’s invoice. A referral does not transfer the original agreement.
Unless a project document says otherwise, the order of priority is: signed agreement, approved change order, accepted proposal, quotation or statement of work, accepted purchase order, then the applicable service terms. A client purchase-order term does not override VESSEY terms unless expressly accepted in writing. Service terms may be accepted by signing, issuing a purchase order, paying a deposit or invoice, authorising work, submitting a Concept Generator brief or otherwise instructing the relevant entity to proceed.
Acceptable website use
You may browse the website, download documents made available for that purpose and contact us for legitimate business enquiries. You may not interfere with security or operation; introduce malicious code; scrape or harvest information in a way that imposes an unreasonable load; attempt unauthorised access; misrepresent identity or authority; use forms to send unlawful, abusive or unsolicited material; or use website content to infringe another person’s rights.
We may restrict access, block abusive traffic or preserve relevant records where reasonably necessary to protect the website, users or Vessey, investigate misuse or comply with law.
Website information, enquiries and electronic contracting
Website content describes capabilities and examples at a general level. It is not a binding offer, guaranteed availability, technical specification or promise of a particular outcome. Prices, lead times, materials, equipment and capability may change. An enquiry, uploaded file or generated estimate does not create a contract unless the applicable business terms say otherwise and Vessey accepts the order in writing.
You are responsible for checking that information is suitable for your intended decision and for obtaining appropriate professional advice. Electronic communications can be delayed, intercepted or misdirected. A message is not treated as a formal notice unless sent using the notice method in the applicable agreement.
Website and project intellectual property
The website, VESSEY marks, layouts, writing, vector graphics, icons, diagrams, photographs, videos, software and other content are owned by or licensed to the applicable VESSEY entity and protected by intellectual-property law. You may make a reasonable personal or internal-business copy for evaluating VESSEY services, with notices intact.
You may not reproduce, publish, sell, adapt, remove branding from, train a commercial model on, or create a competing asset library from website content without prior written permission. No right to use a VESSEY trade mark, logo or service identity is granted by access to the website.
Project intellectual property is governed by the relevant service terms and commercial documents. Payment for a Concept Generator package does not include later industrial design, CAD, calculations, drawings, validation, prototypes, tooling or manufactured products. Each group entity retains its pre-existing methods, software, templates, know-how, manufacturing settings, fixtures and other background intellectual property unless an express written agreement says otherwise.
External links and third-party services
The website may link to the client portal, social platforms, payment, map, analytics or other third-party services. A link is provided for convenience and does not mean we control or endorse every aspect of that service. Third parties apply their own terms, availability and privacy practices.
We are not responsible for external content or services outside our reasonable control. Please check the destination and its terms before supplying information or completing a transaction.
Privacy, cookies and communications
We process personal information for enquiries, project administration, security, analytics and other stated purposes under the applicable privacy notice and the Protection of Personal Information Act. Do not submit confidential project information through a general website form when a secure project channel or signed NDA is required.
When relevant to a requested service, you authorise proportionate sharing of project information within the VESSEY Group for quotations, feasibility checks, project coordination, performance of requested services and necessary records. This does not transfer ownership, change the contracting entity or reduce confidentiality and POPIA obligations.
Operational replies relate to the enquiry or service you requested. Direct marketing is handled separately and must include a lawful basis and a practical opt-out. Browser and analytics technologies may be used as described in the applicable notice and consent controls.
Availability, warranties and liability
We use reasonable efforts to keep the website accurate and available, but do not promise uninterrupted or error-free access. Content may be corrected, withdrawn or updated without notice. The website is supplied for general information and, to the maximum extent permitted by law, without warranties beyond those that cannot lawfully be excluded.
To the maximum extent permitted by law, the website operator is not liable for indirect, incidental, special or consequential loss arising only from use of or inability to use the public website. For a purchased service, only the relevant contracting entity is responsible for its own agreed scope, and any liability cap is calculated by reference only to the fees paid or payable to that entity under the applicable service terms. No group company has joint, several or vicarious liability merely because of shared branding, a referral or participation in an integrated project.
Nothing excludes liability for fraud, wilful misconduct, gross negligence where it cannot be excluded, death or personal injury caused by negligence, or any consumer or statutory remedy that may not lawfully be limited.
South African law and disputes
South African law governs these website terms. Please first send a clear description of a concern to connect@vessey.co.za so that senior representatives can try in good faith to resolve it. If unresolved after ten business days, either party may propose mediation in Johannesburg. Nothing prevents urgent court relief. Unless the parties separately agree to arbitration, the courts with jurisdiction in Johannesburg may determine a dispute.
Changes and general terms
We may update these website terms prospectively by publishing a new version and update date. A change does not retrospectively rewrite an accepted proposal, quotation or order. If a provision is unenforceable, it is adjusted or severed only to the extent necessary and the remaining terms continue.
Delay in enforcing a right is not a waiver. These website terms, together with the documents they expressly reference, form the entire agreement about public website use. Formal notices relating to a service must follow the notice clause in the applicable service agreement.
